Terms

How buying and using Sidecue works. Written to be read — no cross-references to clauses that explain nothing.

Who sells, and who licenses

Sidecue is licensed by Verilabs sp. z o.o., registered in Sieradz, Poland (ul. Wojska Polskiego 157, 98-200 Sieradz), KRS 0001171527, VAT ID PL8272343646, REGON 541656351. Contact: [email protected].

The sale itself is handled by Lemon Squeezy LLC as merchant of record. In practice that means your purchase contract is with Lemon Squeezy: they take the payment, account for the VAT or sales tax that applies in your country, and issue the purchase document. Verilabs is responsible for the software and the licence.

Why the distinction matters: anything about payment, invoices or tax goes to Lemon Squeezy. Anything about how the application behaves, your licence key or activation comes to us.

What Sidecue is

Sidecue is a Windows application that follows a conversation (audio, and optionally the text of a chat window), builds context from it, and shows suggestions from a language model of your choice in a window excluded from screen capture.

It requires Windows 10 version 2004 (build 19041) or newer, or Windows 11, a microphone and a system audio output. There is no macOS or Linux version.

Sidecue does not include an AI model or transcription in the price. It uses services you choose yourself: either external providers on your own API key (you pay them separately, at their rates), or models running locally on your machine (you pay no one). External API usage costs are not covered by the licence fee.

Free trial

For 7 days from first launch the application runs at no charge and without card details. The trial is there so you can check that Sidecue works on your hardware, with your audio devices and in your conversations — use it before buying, because once it ends the application stops showing suggestions until a licence is activated.

The licence

A purchase grants a perpetual licence for one person, activated on two devices at a time. It does not expire and it is not a subscription.

You can release a device at any time — in Settings, with the "Deactivate" button — and activate the key on another computer. That is the normal route when you change hardware and it needs no contact with us.

What the licence does not cover:

The licence key is verified online at activation and periodically afterwards. A key that has been refunded or charged back is revoked.

Price, payment and proof of purchase

The price is €149 including tax, paid once — you pay exactly what you see, whatever your country. VAT or sales tax is calculated and remitted by Lemon Squeezy at the rate applying in your country; the amount is itemised in the checkout and on your receipt.

The purchase confirmation and licence key are sent to the email address you provide, immediately after the payment clears. Company invoices are issued by Lemon Squeezy — enter your billing details in the checkout.

Delivery

Sidecue is a digital product delivered electronically. We sell no physical goods and ship nothing. Delivery consists of sending the licence key and providing the installer at dl.sidecuehq.com, and happens immediately after purchase.

Updates and support

Updates within the version you bought are free and download automatically — the application checks for a new version at launch. We do not promise a free upgrade to future releases sold as a separate product, should any exist.

Support is by email at [email protected]. We reply on business days.

Withdrawal and refunds

If you buy as a consumer, you may withdraw from the contract within 14 days of purchase, without giving a reason. An email to [email protected], or a message to Lemon Squeezy, is enough. The refund goes back the way you paid.

In practice: we do not ask you to waive the right of withdrawal at checkout, even though digital content delivered immediately would allow it. That is what the 7-day trial is for — we would rather you tested the application before paying than fought for a refund afterwards.

After withdrawal the licence key is revoked and further use outside the trial period is not permitted.

Complaints

Report problems with the application to [email protected]. Describe what happens, on which Windows version, and since when — that is usually enough to reproduce it. We answer within 14 days of receiving a complaint.

Complaints about payment, invoicing or tax are handled by Lemon Squeezy as the seller.

What you are responsible for

Sidecue listens to a conversation you are part of, and can read the content of a window you point it at. You decide when it runs and what it processes — and you are responsible for that use being lawful.

Breaching the above may result in the licence key being revoked without a refund.

What we are not responsible for

Suggestions are generated by a language model and can be wrong. Sidecue is an aid — it does not verify facts, does not know context you have not given it, and does not replace your own knowledge or judgement. We are not liable for decisions made on the basis of a suggestion.

Nor are we responsible for the external services you use on your own API key (availability, quality, pricing, changes to their terms), or for transcription quality, which depends on your audio hardware and the acoustics of the room.

Excluding the window from screen capture works at the Windows level and covers screen sharing and software recording. It does not protect against a camera or phone pointed at your monitor, or against someone standing behind you.

Our liability towards business customers is limited to the licence fee paid. Towards consumers, statutory rights apply in full and without limitation.

Personal data

Conversation content never reaches Verilabs. The application runs on your computer and talks only to the providers you select. The full list of outbound connections, files written to disk and permissions is on the security and privacy page.

Purchase data (email address, billing details) is processed by Lemon Squeezy as the seller. We receive your email address to the extent needed to service the licence and provide support.

Changes to these terms

We may change these terms for future purchases — for instance if the price, the scope of the licence or the way we sell changes. Changes do not apply retroactively: a licence already bought is governed by the version in force on the day of purchase. Every version carries its effective date at the top of this page.

Governing law and disputes

The licence agreement is governed by Polish law. That choice does not deprive a consumer of the protection of mandatory provisions in their country of habitual residence.

Consumers in the EU may use out-of-court dispute resolution, including the online dispute resolution platform at ec.europa.eu/consumers/odr. Before going there — write to us; email usually settles it.
